These Terms of Service ("Terms") govern your access to and use of Clinytix CDSS, a clinical decision-support platform operated by Clinytix ("Company," "we," "our," or "us"). By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

1. Eligibility and Authorised Use

Clinytix CDSS is a professional healthcare technology platform intended exclusively for use by qualified, licensed physicians and other appropriately credentialed healthcare professionals. By creating an account you represent and warrant that:

  • You are a licensed healthcare professional authorised to access and use clinical decision-support tools in your jurisdiction;
  • You are using the platform in your professional capacity and not as a substitute for formal specialist consultation or institutional multidisciplinary team review;
  • You have the authority to enter into these Terms on behalf of any clinic, hospital, or institution through which you are accessing the platform.

Clinytix CDSS is not intended for use by patients, the general public, or non-clinical personnel.

2. Clinical Decision-Support Disclaimer

Clinytix CDSS is a clinical decision-support tool only. All AI-generated analyses, treatment recommendations, diagnostic assessments, drug regimens, and clinical notes are for informational purposes only and require validation by a licensed physician before any clinical action is taken. Clinytix CDSS does not constitute medical advice and must not be used as a substitute for professional medical judgment, specialist consultation, or institutional multidisciplinary team review.

Clinytix CDSS is designed to enable the treating physician to independently review the clinical rationale and evidential basis underlying each recommendation presented, such that no recommendation is intended to be acted upon without the physician's independent judgment. The treating physician bears full responsibility for all clinical decisions.

All Clinytix CDSS outputs carry mandatory AI disclosure labels. Outputs are not intended for direct communication to patients without prior physician review and appropriate clinical contextualisation.

Evidence citations and clinical guideline references provided within the platform are for contextual orientation only and may not reflect the most current published guidance. Clinicians are advised to verify all recommendations against current institutional protocols, national clinical guidelines, and specialist input before acting on any output.

Clinytix CDSS has been evaluated for algorithmic bias across relevant patient demographic groups. Nonetheless, AI-generated outputs must not be used in any manner that discriminates against patients on the basis of race, colour, national origin, sex, age, disability, or any other protected characteristic. Clinicians retain responsibility for ensuring the equitable application of all clinical recommendations.

3. AI Output Limitations

Clinytix CDSS uses large language model AI with native vision capabilities to process uploaded clinical documents and generate structured specialist panel analysis. You acknowledge and agree that:

  • AI-generated outputs may contain errors, omissions, or hallucinated content. All outputs must be independently reviewed by a qualified physician;
  • The platform is not a substitute for formal imaging review by a radiologist, pathology sign-off by a pathologist, or any other specialist interpretation;
  • The accuracy of analysis is dependent on the quality, completeness, and legibility of uploaded documents;
  • Documentation of the AI model's development methodology, training data sources, validation datasets, and known performance benchmarks and limitations is available on request.

No AI training on patient data. Patient data, uploaded clinical documents, and AI-generated outputs processed through Clinytix CDSS are never used to train, fine-tune, or improve any AI model — whether operated by Clinytix or any third-party AI service provider. All AI processing is performed on a per-session basis with no data retention for model training purposes.

4. Accounts and Access

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete information when creating your account;
  • Notify us immediately of any unauthorised access to or use of your account;
  • Not share your account credentials with any other individual;
  • Ensure that access to the platform from shared or clinical workstations is appropriately secured.

We reserve the right to suspend or terminate accounts where we have reasonable grounds to believe that these Terms have been breached.

5. Subscription, Billing, and Cancellation

Access to Clinytix CDSS is provided on a subscription basis. Subscription fees, billing cycles, and plan limits are described on the Pricing page. By subscribing you agree that:

  • Monthly plans are billed on a recurring monthly basis and may be cancelled at any time. Cancellation takes effect at the end of the current billing period; no partial-month refunds are issued;
  • Annual plans are billed as a single upfront payment for 12 months and are non-refundable except where required by applicable law;
  • Prices shown during the beta period are introductory rates and subject to change. You will be notified at least 30 days in advance of any price changes;
  • We reserve the right to modify, suspend, or discontinue any plan tier with reasonable notice.

6. Data Ownership and Patient Data

You retain full ownership of all patient data and clinical documents uploaded to the platform. Clinytix does not claim any ownership rights over patient records, uploaded files, or AI-generated analysis outputs associated with your account.

Clinytix CDSS incorporates a built-in anonymisation layer that de-identifies all patient data prior to processing by AI components, ensuring that no personally identifiable information (PII) or protected health information (PHI) is transmitted to or processed by external AI services in identifiable form.

All data handling is governed in accordance with applicable data protection laws. Organisations deploying Clinytix CDSS are responsible for ensuring that any agreements required with third-party service providers are in place and that their use of the platform complies with all applicable data protection and healthcare privacy obligations in their jurisdiction.

Upon account termination, you may request an export of your data for a period of 30 days following termination. After this period, data may be permanently deleted in accordance with our data retention policy.

7. Prohibited Uses

You agree not to use Clinytix CDSS to:

  • Provide medical advice directly to patients or to the general public;
  • Replace or circumvent formal specialist consultation, second opinions, or institutional multidisciplinary team review where clinically required;
  • Attempt to reverse-engineer, scrape, or extract model weights, prompts, or proprietary algorithms underlying the platform;
  • Upload content that violates applicable privacy laws or that you do not have the right to process;
  • Use the platform in any manner that violates applicable laws, clinical regulations, or professional registration standards;
  • Share, resell, or sublicense access to the platform to third parties;
  • Attempt to circumvent, disable, or interfere with any security or access-control feature of the platform.

8. Intellectual Property

All software, algorithms, user interface elements, analysis frameworks, prompt engineering, and platform design comprising Clinytix CDSS are the exclusive intellectual property of Clinytix and are protected by applicable copyright, trade secret, and intellectual property laws. These Terms do not grant you any licence to copy, modify, distribute, or create derivative works from any component of the platform.

AI-generated analysis outputs produced by the platform in response to your uploaded patient data are provided to you for your clinical use. Clinytix does not assert intellectual property rights over such outputs.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Clinytix and its officers, directors, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to adverse patient outcomes, clinical errors, data loss, or business interruption — arising out of or in connection with your use of or reliance on Clinytix CDSS.

Clinytix CDSS is provided "as is" and "as available." We make no warranties, express or implied, regarding the accuracy, completeness, fitness for a particular clinical purpose, or regulatory compliance of any AI-generated output.

Our total aggregate liability to you in connection with these Terms shall not exceed the total subscription fees paid by you to Clinytix in the twelve months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Clinytix and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of Clinytix CDSS in violation of these Terms; (b) any clinical decision made in reliance on a platform output without independent physician validation; (c) any breach of applicable data protection, privacy, or healthcare regulation arising from your use of the platform; or (d) any infringement of third-party rights caused by content you upload.

11. Regulatory Compliance

Clinytix CDSS is intended for use within jurisdictions where it has been validated and approved for deployment. Users are responsible for consulting their institutional compliance and legal teams to ensure conformance with all locally applicable regulatory obligations prior to use, including any requirements specific to the use of AI-based clinical decision-support tools in their jurisdiction.

Nothing in these Terms limits your obligation to comply with all applicable laws and professional regulations governing the practice of medicine and the use of clinical decision-support technology in your jurisdiction.

12. Termination

We may suspend or terminate your access to Clinytix CDSS immediately and without prior notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent or harmful conduct, or where termination is required to comply with applicable law.

You may terminate your account at any time by contacting us. Termination does not relieve you of any payment obligations accrued prior to the termination date.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address at least 14 days before taking effect. Your continued use of the platform after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to a material change, you may terminate your account before the change takes effect.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Clinytix is registered. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days following written notice of the dispute.
